These Terms of Service govern your use of Onebase (the "Service") provided by Shopsy AS (org. no. 933 666 603, "Shopsy AS", "we" or "us"). By registering or using the Service, you accept these terms.
1. Parties and Scope
The agreement is entered into between Shopsy AS and the legal or natural person that creates an account (the "Customer"). If you register on behalf of an organisation, you warrant that you have the authority to bind that organisation.
2. Description of the Service
Onebase is a cloud-based platform combining modules for CRM, inventory, sales, HR, project and related business processes. Functionality may be changed, extended or adjusted over time.
3. Account and Access
- The Customer is responsible for all activity under its account, including actions by employees and invited users.
- Credentials must be kept secure and not shared.
- The Customer shall notify us promptly upon any suspected unauthorised access.
4. Customer Data and Ownership
The Customer retains all rights to data entered into the Service ("Customer Data"). Shopsy AS is granted a limited, non-exclusive licence to process Customer Data solely for delivery, operation, maintenance and improvement of the Service, in accordance with the Privacy Policy and any applicable data processing agreement.
5. Acceptable Use
The Customer shall not:
- Use the Service in violation of Norwegian or EU law;
- Attempt to circumvent security, access controls or usage limits;
- Reverse engineer, decompile or copy the Service beyond what is permitted by mandatory law;
- Send spam, malicious code or harassing content;
- Upload content the Customer has no right to process, including personal data without a valid legal basis.
6. Fees and Payment
The Service is currently offered in early access at no cost to invited customers unless otherwise agreed in writing. When commercial subscriptions are introduced, the applicable pricing and terms will be presented before any binding order.
7. Availability and Support
We strive to provide high availability and performance, but make no explicit guarantee beyond what may be agreed in a separate service-level agreement (SLA). Planned maintenance will be announced in advance where reasonably practicable. Support is primarily provided by email at [email protected].
8. Changes to the Service and Terms
We may update the Service and these terms. Material changes will be announced in the Service or by email with reasonable advance notice. If the Customer does not accept the changes, the agreement may be terminated before they take effect.
9. Intellectual Property
Shopsy AS or its licensors retain all intellectual property rights to the Service, including software, graphics, logos and documentation. No rights are transferred beyond the right of use strictly necessary to use the Service under these terms.
10. Confidentiality
Each party shall treat information received from the other party that is marked confidential – or that is confidential by its nature – as confidential during the term and for 3 years after termination of the customer relationship.
11. Limitation of Liability
To the extent permitted by mandatory law, Shopsy AS's aggregate liability to the Customer under these terms is limited to the amount paid by the Customer to Shopsy AS in the 12 months preceding the event giving rise to the liability. Shopsy AS is not liable for indirect losses, including lost profits, loss of data or loss of goodwill. These limitations do not apply in cases of intent or gross negligence.
12. Termination
The Customer may terminate the agreement at any time by closing its account. We may terminate or suspend access upon material breach after prior written notice and a reasonable opportunity to remedy the breach. For serious breaches of acceptable use or upon legal order, access may be suspended without prior notice.
13. Data Export on Termination
Upon termination, the Customer may request export of Customer Data in a machine-readable format within 30 days. After this period, Customer Data may be deleted in accordance with the Privacy Policy.
14. Privacy and Data Processing
Our processing of personal data is governed by the Privacy Policy. When the Customer processes personal data about its own customers or employees through the Service, Shopsy AS acts as data processor. A data processing agreement is available on request.
15. Force Majeure
Neither party is liable for failure to perform due to circumstances beyond its reasonable control, including third-party network outages, war, natural disasters or major cyber-attacks.
16. Governing Law and Jurisdiction
These terms are governed by Norwegian law. Disputes that cannot be resolved amicably shall be settled by the ordinary Norwegian courts, with Romerike og Glåmdal District Court (Romerike og Glåmdal tingrett) as venue.
